Unilever Bangladesh has received a favorable final verdict in Arbitration Misc. Case Nos. 436/2025 and 437/2025, filed by former distributors Masud & Brothers and Agrani Trading Corporation before the learned District & Sessions Judge Court, Dhaka. In these cases, the distributors challenged the termination of their distributorship and sought an injunction to stay the termination notice and prevent Unilever from appointing a new distributor in the concerned area, a press release said.
On 29.01.2026, the learned Additional District Judge, Court No. 2, found no merit in their applications, rejected the arbitration cases, and pronounced the final verdict in favor of Unilever.
Before filing these arbitration miscellaneous cases, the distributors had filed two separate declaration suits and two money suits, which were the wrong forums in the eyes of the law. Accordingly, the court rejected their declaration petitions on grounds of maintainability. After their first attempts were rejected, they filed the present arbitration miscellaneous cases seeking an injunction against Unilever.
On 28.01.2026, the learned Additional District Judge’s Court heard the matter on merit. During the hearing, Unilever presented its position, outlining how the distributors were terminated lawfully and in accordance with the terms of the distributorship agreement. Unilever also clarified how the distributors had suppressed several documents and provided misinformation before different courts.
After hearing both parties, the court fixed the matter for order on 29.01.2026. Today, the court pronounced its verdict in favor of Unilever and rejected the arbitration miscellaneous cases, finding no merit in the distributors’ applications.
This verdict confirms that Unilever Bangladesh acted in compliance with the law and terminated the distributors on a lawful basis. It also reaffirms that Unilever Bangladesh can continue its business operations through the newly appointed distributor.
Barrister Nasir Uddin Ahmed Ashim and Barrister Tanim Hossain Shawon appeared on behalf of Unilever, while Advocate Omar Faruq (Faruqi) and Barrister Abir Abbas appeared on behalf of the distributors.
